Issues
Was the contract unenforceable because of the condition and not specifying who was responsible for obtaining subdivision approval?
Ratio
The existence of a condition precedent does not preclude the possibility of some provisions of a contract (such as subsidiary obligations) being operative before the condition is fulfilled.
The parties are obligated to employ their best efforts in order to meet their obligations under a contract.

Was there a breach of contract due to the failure of Anatal to have the plan of subdivision registered by using its “best efforts”?

If so, was there a reasonable probability that Anatal would have achieved registration of the plan of subdivision before the date stipulated?


What damages should Eastwalsh receive?
Ratio
Damages for loss of chance will be awarded only when a plaintiff can establish a reasonable probability that a benefit would have been realized
if the contract were performed.

Proof of loss of a mere chance is not enough; the plaintiff must prove on a balance of probabilities that the chance lost constitutes an advantage of some real substantial monetary value.



Unilateral Waiver

Issues
Could the Plaintiff Zhilka unilaterally waive the condition?
Ratio
Where a condition is simply and solely for the benefit of one party and is severable from the rest of the contract, that party may waive the condition. In such a situation, the waiving party has a right that it can waive.

However when obligations under a contract are dependant on a future, uncertain event, the happening of which depends entirely on the will of a third party, then neither party may unilaterally waive such “true condition precedent”.
