8. CONTRACTOR’S POWERANDAUTHORITY: The Contractor warrantsthatithasfullpowerandauthoritytogranttherights herein grantedandwillholdthe Stateharmlessfromand against any loss, cost, liability, and expense (including reasonable attorney fees) arising out of any breach of this warranty. Further,the Contractor avers that it will not enter into any arrangementwithany third party which mightabridgeanyrightsof theStateunderthisContract.
a) The State will notify the Contractor of any suchclaim in writingandtenderthedefensethereofwithina reasonable time;and
b) TheContractorwillhavesolecontrolofthedefenseofany action onsuch claimandallnegotiationsforitssettlementor compromise;provided that(i) when substantialprinciplesof governmentorpubliclawareinvolved,whenlitigationmight createprecedentaffectingfutureStateoperationsorliability, orwheninvolvementoftheStateisotherwisemandatedby law, the State may participate in such action at its ownexpense with respect to attorneys’ fees and costs (butnot liability); (ii) where a settlement would impose liability on the State, affect principles of California government or public law, or impact the authority of the State,theDepartmentofGeneralServiceswillhavetheright to approve or disapprove any settlement or compromise, whichapprovalwillnotunreasonably bewithheld ordelayed; and(iii)theStatewillreasonablycooperateinthedefense andinany relatedsettlementnegotiations.
9. ASSIGNMENT: ThisContractshallnotbe assignable bythe Contractorinwholeorinpartwithoutthewritten consentofthe State.TheState’sconsentshallnotbeunreasonablywithheldor delayed.For the purpose ofthisparagraph,theState willnot unreasonablyprohibittheContractorfromfreelyassigningitsright topayment,providedthattheContractorremainsresponsiblefor its obligations hereunder.
10. WAIVEROFRIGHTS: AnyactionorinactionbytheStateorthe failure of the State on any occasion, to enforce any right or provisionoftheContract, shallnot be construed tobeawaiver by theStateofitsrightshereunderandshallnotpreventtheState from enforcingsuchprovision orright on any future occasion. TherightsandremediesoftheStatehereinarecumulativeand areinadditiontoanyotherrightsorremediesthattheState may haveatlawor inequity.
11. ORDEROFPRECEDENCE:In theeventofanyinconsistency between the articles, attachments, specifications or provisions whichconstitute thisContract,thefollowingorderofprecedence shallapply:
a) These GeneralProvisions– Information Technology (In the instances provided herein where the paragraphbegins: “Unless otherwise specified in the Statement of Work” provisions specified inthe Statement of Work replacingtheseparagraphsshalltakeprecedenceover the paragraphreferencedintheseGeneralProvisions);
b) Contract form, i.e., Purchase Order STD 65, Standard
