a) WhenEncryption/CPUIdentification(ID)authorizationcodes are required to operate the Software Products, the
the Software.
b) IncaseofaninoperativeCPU,theContractorwillprovidea temporary encryption/CPU ID authorization code to the State foruseonatemporarily authorizedCPUuntilthedesignated CPU isreturnedtooperation.
c) When changes in designated CPUs occur, the State will notifythe Contractorviatelephoneand/orfacsimile/e-mailof such change.Uponreceiptofsuchnotice,theContractorwill issue via telephone and/or facsimile/e-mail to the State within 24 hours, a temporary encryption ID authorization codeforuseonthenewlydesignatedCPUuntilsuchtime as permanent codeis assigned.
43. PATENT,COPYRIGHTANDTRADESECRETINDEMNITY:
a) Contractor will indemnify, defend, and save harmless the State,itsofficers,agents,and employees,fromanyandall third party claims, costs (including without limitation reasonableattorneys’fees),and lossesforinfringementor violation of any U.S. Intellectual Property Right by any product or service provided hereunder. With respect to claimsarising fromcomputer HardwareorSoftware manufactured byathirdpartyandsoldbyContractorasa reseller,Contractor willpassthrough to the State such indemnity rightsasitreceivesfromsuchthirdparty(“Third PartyObligation”)andwillcooperateinenforcing them; providedthatifthethirdparty manufacturerfailstohonorthe ThirdPartyObligation,Contractor willprovidetheStatewith indemnity protection equal to that called for by the Third PartyObligation,butinnoeventgreaterthanthatcalledfor inthefirstsentenceofthisSection).Theprovisionsofthe precedingsentenceapplyonly tothirdpartycomputer HardwareorSoftwaresold asadistinctunitand acceptedby theState.
Unless a Third Party Obligation provides otherwise, the defense and payment obligations set forth in this Sectionwillbeconditionaluponthe following:
(i) The StatewillnotifytheContractorofany such claimin writing and tender the defense thereof within a reasonable time; and
(ii) TheContractorwillhavesolecontrolofthedefenseof
anyaction on such claimand allnegotiationsforits settlement or compromise; provided that (a)whensubstantialprinciplesofgovernmentorpublic law areinvolved,whenlitigationmightcreateprecedent affecting future State operationsorliability,orwhen involvementofthe Stateisotherwise mandated bylaw, theState mayparticipateinsuchactionatitsown expense with respect to attorneys’ fees and costs (butnotliability); (b)wherea settlementwouldimpose liabilityon the State,affectprinciplesofCalifornia governmentor publiclaw,orimpacttheauthorityofthe State,the DepartmentofGeneral Serviceswillhave the righttoapproveor disapproveanysettlementor compromise,which approvalwillnotunreasonablybe withheldordelayed;and(c)the Statewillreasonably cooperate in the defense and in anyrelated settlement negotiations.
b) ShouldtheDeliverables,ortheoperationthereof,become, or in the Contractor's opinion are likely to become, the subjectofa claimofinfringementorviolation ofa U.S. Intellectual PropertyRight, the State shallpermit the Contractor,atitsoptionandexpense,eithertoprocurefor theStatethe rightto continue using theDeliverables,or to replace or modify the same so that they become non-infringing. Ifnoneofthese optionscanreasonablybe taken,or ifthe use ofsuch Deliverablesby the State shallbe preventedbyinjunction,theContractoragreestotakeback such Deliverables and make every reasonable effort to assist the State in procuring substitute Deliverables. If, in the sole opinion of the State, the return of such
infringing Deliverables makes the retention of other c) AnyfinaldecisionoftheStateshallbeexpresslyidentified
Deliverables acquired from the Contractor under this
Contract impractical, the State shall then have the option of terminating such Contracts, or applicable portions thereof, without penalty or termination charge.
