6.The amounts specified herewith are exclusive of VAT and any other applicable taxes, which PeopleCert may add to its invoices as required by applicable law. All payments by Partner shall be made in full without deduction or withholdings for tax, bank charges or otherwise, except any deduction or withholding which is required bylaw, in which case the sum payable by Partner in respect of which such deduction or withholding is required to be made shall be increased to the extent necessary to ensure that, after making such deduction or withholding, PeopleCert receives and retains (free from any liability in respect of any such deduction or withholding) a net sum equal to the sum it would have received had no such deduction or withholding been made or required to be made. If PeopleCert subsequently receives a refund or tax credit for such deduction or withholding, it shall pay the amount of such monies received to the Partner (without interest.
7.PeopleCert may change the prices in this Price List upon 30 days advance notice to Partner, provided that Partner may terminate the Partner Agreement as in the Clause "Term and Termination" of the Agreement if Partner does not accept the amended prices. PeopleCert may invoice Partner for amounts due under the Partner Agreement at anytime in its reasonable discretion, including Affiliates and other related parties. Partner shall pay PeopleCert invoices within the period specified herewith. Unless otherwise communicated by PeopleCert to Partner, payment terms are Prepayment. Based upon the credit profile of Partner, PeopleCert, in its reasonable discretion, may (i) set a credit limit for Partner and/or (ii) offer credit days to Partner.
9.Partner shall select one of the following invoicing currencies USD, GBP, EUR, AUD or JPY. PeopleCert will invoice for exam prices denominated in currencies other than the invoicing currency using published bank exchange rates for the most recent business day before the invoice date. If Partner pays in a currency other than the selected invoicing currency, PeopleCert may convert the payment to the correct currency and shall specify the exchange rate used on a statement or future invoice to Partner (such exchange rate must bean actual exchange rate offered to PeopleCert by its foreign exchange providers for the month of conversion. If the amount received by PeopleCert after conversion differs from the amount invoiced, then such difference shall be applied by PeopleCert to a future invoice. The amounts specified above are inclusive of VAT and any other applicable taxes and charges. Partner is responsible for payment of all taxes due thereon (other than any VAT collected by PeopleCert).
2. PeopleCert may change the above fees upon 30 (thirty) calendar days advance notice to Partner.
3. PeopleCert will issue promo codes or other identification codes to identify candidates participating in these schemes the promo codes will include the above mentioned discount per candidate when applied in the website during purchase. PeopleCert shall pay Partner quarterly (for the periods January-March, April-June, July-September and October-December), within 30 (thirty) calendar days of the end of each such period. In connection with each such payment, PeopleCert shall provide Partner with a report of (1) the number of exams referred by Partner during the period and
(2) the associated fee calculation.
5. If Partner has chosen to be paid in a currency other than the one applicable in the table above, PeopleCert may convert the payment to the payment currency and shall specify the exchange rate on the statement under paragraph (d) above. Such exchange rate must bean actual exchange rate offered to PeopleCert by its foreign exchange providers for the issue date of conversion.
4.There maybe additional onsite audits in any Approved Test Centre (for instance due of customer complaints or national certification requirements. It is in LanguageCert’s discretion to schedule such audits. In the case of onsite audit, apart from the above-mentioned cost, the Approved Test Centre will have to pay possible transportation costs for the Auditor. LanguageCert reserves the right to perform nonscheduled onsite audits at Approved Test Centres, at any given time. Nonscheduled onsite audits are charged just as scheduled audits and are subject to possible transportation costs for the Auditor. Without prejudice to PeopleCert’s other rights and remedies under the Partner Agreement, if Partner has an overdue balance with PeopleCert for seven or more calendar days PeopleCert may in its sole discretion take anyone or more of the following actions (by notice to Partner):
i. suspend the services provided to Partner until payment of outstanding amounts is received ii. require prepayment in an amount reasonably determined by PeopleCert iii. charge interest from the original due date on the overdue amount at the lesser of (a) 2% per month orb) the highest rate permitted bylaw, which maybe added by
PeopleCert to a future invoice iv. inform Partner that the Partner Agreement will be terminated if the outstanding amounts are not paid within 10 calendar days (and terminate if payment is not received by such deadline. This pricelist for the country specified above (Country) applies:
i. for exam-related services (e.g. exam fees, certificate fees) except exam vouchers, to exams delivered in Country, and ii. for non-exam-related services and exam vouchers, to all such services if Partner is based in Country. Application evaluation and remote audit are performed only if the Application for Centre and Qualification Approval has been signed by the Test Centre and has been sent to PeopleCert along with the necessary documents.
3. An onsite audit is performed during the first year of the Agreement only in Centres that host regulated LanguageCert exams. The fee for the onsite audit is invoiced only if the Application for Centre and Qualification Approval has been signed by the Centre and has been sent to PeopleCert along with the necessary documents. In the case of Application rejection the fee is not refunded.
