a) The partiesshalldealingoodfaithandattempttoresolve potentialdisputesinformally. If thedispute persists, the Contractor shall submit to the contracting Department Directoror designeeawrittendemandforafinaldecision regardingthe dispositionofany disputebetweenthe parties arising under, related to or involving this Contract. Contractor’s written demand shall be fully supported by factualinformation,and ifsuch demandinvolvesa cost adjustmenttotheContract,theContractorshallincludewith thedemandawritten statement signedby anauthorized personindicatingthatthedemand ismade ingoodfaith,that thesupporting dataare accurate andcompleteandthatthe amount requested accurately reflects the Contract adjustmentforwhichContractorbelievestheStateisliable. ThecontractingDepartmentDirectorordesigneeshallhave
30daysafterreceiptofContractor’swrittendemandinvoking thisSection“Disputes”torenderawrittendecision. If a writtendecisionisnotrenderedwithin30daysafterreceipt of theContractor’sdemand,itshallbedeemedadecision adversetotheContractor’scontention. IftheContractoris notsatisfiedwiththedecisionofthecontractingDepartment Director or designee, the Contractor may appeal the decision,inwriting,within15daysofitsissuance(orthe expirationofthe30dayperiodintheeventnodecisionis renderedbythecontractingdepartment),totheDepartment of General Services, DeputyDirector, Procurement Division, whoshallhave45 daystorenderafinaldecision. IftheContractordoesnot appealthedecisionofthecontractingDepartmentDirector ordesignee, thedecisionshallbeconclusiveandbinding regarding the dispute and the Contractor shall be barred from commencing an action in court, or with the Victims Compensation Government Claims Board, for failure to exhaustContractor’sadministrativeremedies.
b) Pending the final resolution of any dispute arising under, relatedtoor involvingthisContract,Contractoragreesto diligentlyproceedwith theperformanceofthisContract, includingthe deliveryofGoodsorprovidingofservicesin accordancewith the State’s instructionsregarding this Contract. Contractor’sfailure todiligently proceed in accordance with the State’s instructions regarding this Contract shall be considered a material breach of this Contract.
as such, shall be in writing, and shall be signed by the
Deputy Director, Procurement Division if an appeal was made. IftheDeputyDirector,ProcurementDivisionfailsto renderafinal decisionwithin45days afterreceiptof the
finaldecision adversetotheContractor’scontentions. The State’s final decision shall be conclusive and binding regardingthedispute unlessthe Contractor commencesan action in a courtofcompetentjurisdiction to contest such decision within 90 days following the date of the final decisionor one(1)yearfollowingtheaccrualofthe causeof action,whichever is later.
d) FordisputesinvolvingpurchasesmadebytheDepartmentof General Services, Procurement Division, the Contractor shall submit to the Department Director or designee a writtendemandfor afinaldecision, whichshallbefully supportedinthemannerdescribedinsubsectionaabove. TheDepartmentDirectorordesigneeshallhave30daysto renderafinaldecision. Ifafinaldecisionisnotrendered within30daysafterreceiptoftheContractor’sdemand,it shallbedeemedafinaldecision adversetotheContractor’s contention. The final decision shall be conclusive and bindingregardingthedispute unlesstheContractor commencesanactioninacourtofcompetentjurisdictionto contestsuchdecisionwithin90daysfollowingthedateof the finaldecisionor one (1) year following the accrualofthe causeofaction,whichever islater.
e) Thedates ofdecisionandappealinthis sectionmaybe modified bymutual consent, as applicable, excepting the timeto commence anaction inacourtofcompetent jurisdiction.
