a) TheStatemay,atanytime,bywrittenStopWorkOrderto theContractor,requiretheContractortostopall,oranypart, oftheworkcalledforbythisContractforaperiodupto
45daysaftertheStop WorkOrderisdeliveredtothe Contractor,andforanyfurtherperiodtowhichtheparties may agree. The StopWork Order shall be specifically identified assuchand shallindicateitisissuedunderthis clause. UponreceiptoftheStopWorkOrder,theContractor shall immediately comply with its terms and take all reasonable steps to minimize the incurrence of costs allocabletotheworkcoveredbytheStop WorkOrderduring theperiodofworkstoppage. Withinaperiodof 45days afteraStopWorkOrderisdeliveredtotheContractor,or withinany extensionofthatperiodtowhichthepartiesshall haveagreed,theStateshalleither:
(i) Cancelthe StopWorkOrder;or
(ii) TerminatetheworkcoveredbytheStopWorkOrderas providedfor inthe termination fordefaultor the terminationforconvenienceclauseof thisContract.
b) IfaStopWorkOrderissuedunderthisclauseiscanceledor theperiodoftheStopWorkOrderoranyextensionthereof expires,the Contractor shallresume work. The State shall make an equitable adjustment in the delivery schedule, the Contract price, or both, and the Contract shall bemodified,inwriting,accordingly,if:
(i) TheStop WorkOrderresultsinanincreaseinthetime required for, or in the Contractor’s cost properly allocable to the performance of any part of this Contract;and
(ii) The Contractor asserts its right to an equitable adjustmentwithin 60daysaftertheendoftheperiodof
workstoppage;provided,thatiftheStatedecidesthe
factsjustifytheaction,theState mayreceiveandact uponaproposalsubmittedat any timebefore final payment underthisContract.
c) IfaStopWorkOrderisnotcanceledandtheworkcovered bytheStopWorkOrderisterminatedinaccordancewiththe
provision entitled Termination for the Convenience of the State,theStateshallallowreasonablecostsresultingfrom theStopWorkOrder inarrivingatthe terminationsettlement.
d) TheStateshallnotbeliabletotheContractorforlossof by California law(“Conflict Laws”). In the event of any
profits because of a Stop Work Order issued under
thisclause.
46. EXAMINATION AND AUDIT: TheContractoragrees that the State or its designated representative shall have the right to review and copy any records and supporting documentation directlypertainingtoperformance ofthisContract.TheContractor agreestomaintainsuchrecordsforpossibleauditforaminimum ofthree(3)yearsafterfinalpayment,unlessalongerperiod of recordsretentionisstipulated. TheContractoragreestoallow the auditor(s)accesstosuchrecordsduringnormalbusinesshours andinsucha mannersoasto notinterfereunreasonablywith normal business activities and to allow interviews of any employees or others who might reasonably haveinformationrelatedtosuchrecords.Further,theContractor agreesto includeasimilarrightoftheStatetoauditrecordsandinterview staffinanysubcontractrelatedtoperformanceofthisContract. TheStateshallprovidereasonableadvancewritten notice of such audit(s)totheContractor.
