19. SAFETYANDACCIDENTPREVENTION: Inperformingwork under this Contract on State premises, the Contractor shall conformtoany specificsafety requirementscontainedinthe Contractorasrequiredbylaworregulation. TheContractorshall take any additional precautions as the State may reasonably require for safety and accident prevention purposes. Any violation of such rules and requirements, unless promptly corrected,shallbegroundsfor terminationofthisContractin accordancewith thedefault provisionshereof.
20. INSURANCE: The Contractor shall maintain all commercial generalliability insurance,workers’compensationinsuranceand any other insurance required under the Contract. The Contractor shall furnish insurance certificate(s) evidencing required insurance coverage acceptable to the State,including endorsementsshowing theState asan“additionalinsured”if required under the Contract. Any required endorsements requestedbytheState mustbeseparatelyprovided;merely referringtosuchcoverageonthecertificates(s)isinsufficientfor thispurpose. Whenperformingworkonstateownedorcontrolled property,Contractorshallprovideawaiverofsubrogationinfavor oftheStatefor itsworkers’compensationpolicy.
21.TERMINATION FOR NON-APPROPRIATION OFFUNDS:
a) If the term of this Contract extends into fiscal years subsequenttothatinwhichitisapproved,suchcontinuation oftheContractiscontingentontheappropriation offundsfor suchpurposeby theLegislature. If fundstoeffect such continuedpaymentare notappropriated,the Contractor agrees to take back any affected Deliverables furnished under thisContract,terminate any servicessuppliedto the State underthisContract,and relievetheStateofany further obligationtherefor.
b) TheStateagreesthatifitappearslikelythatsubsectiona) abovewillbeinvoked,theStateandContractorshallagree to take all reasonable steps to prioritize work and Deliverablesandminimizetheincurrenceofcostspriorto theexpirationof fundingforthisContract.
c) THESTATEAGREESTHATIFPARAGRAPHa)ABOVEIS INVOKED,COMMERCIALHARDWAREAND SOFTWARE THATHASNOTBEENPAIDFORSHALLBERETURNED TOTHECONTRACTOR IN SUBSTANTIALLY THESAME CONDITION IN WHICH DELIVERED TO THE STATE, SUBJECT TO NORMAL WEAR AND TEAR. THESTATEFURTHERAGREESTOPAYFORPACKING, CRATING,TRANSPORTATION TOTHECONTRACTOR’S NEAREST FACILITY AND FOR REIMBURSEMENT TO THECONTRACTORFOR EXPENSESINCURREDFOR THEIR ASSISTANCE IN SUCHPACKING ANDCRATING.
22. TERMINATION FOR THECONVENIENCEOFTHE STATE:
a) TheState mayterminateperformanceofworkunderthis Contractfor itsconvenience inwholeor,fromtimeto time,in part,iftheDepartment ofGeneralServices,DeputyDirector ProcurementDivision,or designee,determinesthata termination isinthe State’sinterest. The Departmentof General Services, Deputy Director, Procurement Division, or designee,shallterminatebydeliveringtotheContractora Notice of Termination specifyingthe extent of termination and theeffectivedatethereof.
b) After receipt of a Notice of Termination, and except as directed by the State, the Contractor shall immediately proceedwith the followingobligations, asapplicable, regardlessofanydelayin determiningoradjustingany amounts dueunderthisclause.TheContractorshall:
ContractorandtheStatefailtoagreeontheamounttobe paidbecauseoftheterminationforconvenience,theState willpaytheContractorthefollowingamounts;providedthat innoeventwilltotalpaymentsexceedtheamountpayable to theContractor iftheContracthadbeenfully performed:
(i) The Contract price for Deliverables or services acceptedorretainedbytheStateandnotpreviously paidfor,adjustedfor any savingsonfreightandother charges;and
(ii) Thetotalof:
A) Thereasonablecostsincurredintheperformance oftheworkterminated,including initial costsand preparatory expenses allocable thereto,
butexcludinganycostattributabletoDeliverables or servicespaidor tobepaid;
B) The reasonable cost of settling and paying terminationsettlementproposalsunderterminated
subcontracts that are properly chargeableto the
terminatedportionof theContract; and
C)Reasonable storage, transportation, demobilization,unamortizedoverheadandcapital costs,andothercostsreasonablyincurredbythe Contractor in winding down and terminating itswork.
f) The Contractor will use generally accepted accounting principles, or accounting principles otherwise agreed to in
writing by the parties, and sound business practices in
determining all costs claimed, agreed to, or determined underthis clause.
