a) Samples of items may be required by the State for inspectionandspecificationtestingandmustbefurnished freeofexpensetotheState. Thesamplesfurnishedmust be identical in all respects to the products bid and/or specifiedin theContract.
b) Samples,ifnotdestroyedbytests,may,uponrequestmade at the time the sample is furnished, be returned at the
Contractor’sexpense.
18. WARRANTY:
a) Unless otherwise specified in the Statement of Work, thewarrantiesinthissubsectiona)beginupondeliveryof thegoodsorservicesin questionandendone(1)year thereafter. TheContractorwarrantsthat(i)Deliverablesand services furnished hereunder will substantially conform to therequirementsofthisContract(includingwithoutlimitation alldescriptions, specifications,anddrawingsidentifiedinthe Statement ofWork), and (ii) theDeliverables will befree frommaterialdefectsinmaterialsandworkmanship. Where the parties have agreed to design specifications(such asa DetailedDesignDocument)and incorporatedthesameor equivalentintheStatementof Workdirectlyorbyreference, the Contractor willwarrantthatit’sDeliverablesprovide all material functionality required thereby. In addition to the otherwarrantiessetforthherein, wheretheContractcallsfor delivery of Commercial Software, the Contractor warrants thatsuchSoftwarewillperformin accordancewithitslicense andaccompanyingDocumentation. TheState’sapprovalof designsor specificationsfurnishedby Contractor shallnot relievetheContractor ofits obligationsunderthis warranty.
b) The Contractor warrants that Deliverables furnished hereunder(i)willbefree,atthetimeofdelivery,ofharmful code
(i.e.computerviruses,worms, trapdoors,timebombs, disabling code, or any similar malicious mechanism designed to interfere with the intended operation of,or cause damageto,computers,data,or Software);and(ii)willnot infringe or violate any U.S. Intellectual Property Right.
Withoutlimiting thegenerality of theforegoing,iftheState believes that harmful codemay bepresent in any Commercial Software delivered hereunder, the Contractor will,upontheState’srequest,provideaneworcleaninstall oftheSoftware.
c) Unlessotherwisespecified intheStatement ofWork:
(i) TheContractordoesnotwarrantthatany Software provided hereunder is error-free or that it will run withoutimmaterialinterruption.
(ii) TheContractordoesnot warrantandwillhaveno responsibility for a claim to the extent that it arises
directly from (A) a modification made by the State, unlesssuch modificationisapprovedordirectedbythe Contractor,(B)useofSoftwareincombinationwithor
onproductsotherthanasspecifiedbytheContractor, or (C)misusebytheState.
(iii) WheretheContractorresellsCommercialHardwareor CommercialSoftwareitpurchasedfroma thirdparty, Contractor,totheextentitislegallyabletodoso,will pass through any such third party warranties to the Stateandwillreasonablycooperateinenforcingthem. Such warranty pass-through will not relieve the Contractor from Contractor’s warranty obligations set forthabove.
d) All warranties, including special warranties specified elsewhereherein,shall inuretotheState, its successors, assigns,customeragencies,andgovernmentalusersofthe Deliverablesorservices.
(ii) shouldtheStateinitssolediscretionconsent,refundof allamountspaidbytheState forthenonconforming DeliverableorserviceandpaymenttotheStateofany additionalamountsnecessarytoequaltheState’sCost to Cover. “Costto Cover” meansthe cost,properly mitigated,ofprocuring Deliverablesorservicesof equivalent capability, function,and performance. The paymentobligationinsubsection (e)(ii)abovewillnot exceed the limitsonthe Contractor’sliability set forth in the Sectionentitled“LimitationofLiability.”
f) EXCEPTFORTHEEXPRESSWARRANTIESSPECIFIED IN THIS SECTION, THE CONTRACTOR MAKES NO WARRANTIES EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIESOFMERCHANTABILITYORFITNESSFOR A PARTICULAR PURPOSE.
