TERMS AND CONDITIONS APPLICABLE TO INFORMATION TECHNOLOGY (IT)
PROFESSIONAL SERVICES (SPECIAL ITEM NUMBER 132-51)


****NOTE: All non-professional labor categories must be incidental to, and used solely to support professional services, and cannot be purchased separately.

1. SCOPE

a. The prices, terms and conditions stated under Special Item Number 132-51 Information Technology Professional Services apply exclusively to IT Professional Services within the scope of this Information Technology Schedule.

b. The Contractor shall provide services at the Contractor’s facility and/or at the ordering activity location, as agreed to by the Contractor and the ordering activity.

2. PERFORMANCE INCENTIVES I-FSS-60 Performance Incentives (April 2000)

a. Performance incentives may be agreed upon between the Contractor and the ordering activity on individual fixed price orders or Blanket Purchase Agreements under this contract.

b. The ordering activity must establish a maximum performance incentive price for these services and/or total solutions on individual orders or Blanket Purchase Agreements.

c. Incentives should be designed to relate results achieved by the contractor to specified targets. To the maximum extent practicable, ordering activities shall consider establishing incentives where performance is critical to the ordering activity’s mission and incentives are likely to motivate the contractor. Incentives shall be based on objectively measurable tasks.



3. ORDER

a. Agencies may use written orders, EDI orders, blanket purchase agreements, individual purchase orders, or task orders for ordering services under this contract. Blanket Purchase Agreements shall not extend beyond the end of the contract period; all services and delivery shall be made and the contract terms and conditions shall continue in effect until the completion of the order. Orders for tasks which extend beyond the fiscal year for which funds are available shall include FAR 52.232-19 (Deviation – May 2003) Availability of Funds for the Next Fiscal Year. The purchase order shall specify the availability of funds and the period for which funds are available.

b. All task orders are subject to the terms and conditions of the contract. In the event of conflict between a task order and the contract, the contract will take precedence.

4. PERFORMANCE OF SERVICES

a. The Contractor shall commence performance of services on the date agreed to by the Contractor and the ordering activity.

b. The Contractor agrees to render services only during normal working hours, unless otherwise agreed to by the Contractor and the ordering activity.

c. The ordering activity should include the criteria for satisfactory completion for each task in the Statement of Work or Delivery Order. Services shall be completed in a good and workmanlike manner.

d. Any Contractor travel required in the performance of IT Services must comply with the Federal Travel Regulation or Joint Travel Regulations, as applicable, in effect on the date(s) the travel is performed. Established Federal Government per diem rates will apply to all Contractor travel. Contractors cannot use GSA city pair contracts.

5. STOP-WORK ORDER (FAR 52.242-15) (AUG 1989)


(a) The Contracting Officer may, at any time, by written order to the Contractor, require the Contractor to stop all, or any part, of the work called for by this contract for a period of 90 days after the order is delivered to the Contractor, and for any further period to which the parties may agree. The order shall be specifically identified as a stop-work order issued under this clause. Upon receipt of the order, the Contractor shall immediately comply with its terms and take all reasonable steps to minimize the incurrence of costs allocable to the work covered by the order during the period of work stoppage. Within a period of 90 days after a stop-work is delivered to the Contractor, or within any extension of that period to which the parties shall have agreed, the Contracting Officer shall either-

(1) Cancel the stop-work order; or

(2) Terminate the work covered by the order as provided in the Default, or the Termination for Convenience of the Government, clause of this contract.

(b) If a stop-work order issued under this clause is canceled or the period of the order or any extension thereof expires, the Contractor shall resume work. The Contracting Officer shall make an equitable adjustment in the delivery schedule or contract price, or both, and the contract shall be modified, in writing, accordingly, if-

(1) The stop-work order results in an increase in the time required for, or in the Contractor's cost properly allocable to, the performance of any part of this contract; and

(2) The Contractor asserts its right to the adjustment within 30 days after the end of the period of work stoppage; provided, that, if the Contracting Officer decides the facts justify the action, the Contracting Officer may receive and act upon the claim submitted at any time before final payment under this contract.

(c) If a stop-work order is not canceled and the work covered by the order is terminated for the convenience of the Government, the Contracting Officer shall allow reasonable costs resulting from the stop-work order in arriving at the termination settlement.

(d) If a stop-work order is not canceled and the work covered by the order is terminated for default, the Contracting Officer shall allow, by equitable adjustment or otherwise, reasonable costs resulting from the stop-work order.



6. INSPECTION OF SERVICES

In accordance with FAR 52.212-4 CONTRACT TERMS AND CONDITIONS--COMMERCIAL ITEMS (MAR 2009) (DEVIATION I - FEB 2007) for Firm-Fixed Price orders and FAR 52.212-4 CONTRACT TERMS AND CONDITIONS COMMERCIAL ITEMS (MAR 2009) (ALTERNATE I OCT 2008) (DEVIATION I – FEB 2007) applies to Time-and-Materials and Labor-Hour Contracts orders placed under this contract.



7. RESPONSIBILITIES OF THE CONTRACTOR

The Contractor shall comply with all laws, ordinances, and regulations (Federal, State, City, or otherwise) covering work of this character. If the end product of a task order is software, then FAR 52.227-14 (Dec 2007) Rights in Data – General, may apply.



8. RESPONSIBILITIES OF THE ORDERING ACTIVITY

Subject to security regulations, the ordering activity shall permit Contractor access to all facilities necessary to perform the requisite IT Professional Services.



9. INDEPENDENT CONTRACTOR

All IT Professional Services performed by the Contractor under the terms of this contract shall be as an independent Contractor, and not as an agent or employee of the ordering activity.



10. ORGANIZATIONAL CONFLICTS OF INTEREST

a. Definitions.

“Contractor” means the person, firm, unincorporated association, joint venture, partnership, or corporation that is a party to this contract.

“Contractor and its affiliates” and “Contractor or its affiliates” refers to the Contractor, its chief executives, directors, officers, subsidiaries, affiliates, subcontractors at any tier, and consultants and any joint venture involving the Contractor, any entity into or with which the Contractor subsequently merges or affiliates, or any other successor or assignee of the Contractor.

An “Organizational conflict of interest” exists when the nature of the work to be performed under a proposed ordering activity contract, without some restriction on ordering activities by the Contractor and its affiliates, may either (i) result in an unfair competitive advantage to the Contractor or its affiliates or (ii) impair the Contractor’s or its affiliates’ objectivity in performing contract work.

b. To avoid an organizational or financial conflict of interest and to avoid prejudicing the best interests of the ordering activity, ordering activities may place restrictions on the Contractors, its affiliates, chief executives, directors, subsidiaries and subcontractors at any tier when placing orders against schedule contracts. Such restrictions shall be consistent with FAR 9.505 and shall be designed to avoid, neutralize, or mitigate organizational conflicts of interest that might otherwise exist in situations related to individual orders placed against the schedule contract. Examples of situations, which may require restrictions, are provided at FAR 9.508.



11. INVOICES

The Contractor, upon completion of the work ordered, shall submit invoices for IT Professional services. Progress payments may be authorized by the ordering activity on individual orders if appropriate. Progress payments shall be based upon completion of defined milestones or interim products. Invoices shall be submitted monthly for recurring services performed during the preceding month.



12. PAYMENTS

For firm-fixed price orders the ordering activity shall pay the Contractor, upon submission of proper invoices or vouchers, the prices stipulated in this contract for service rendered and accepted. Progress payments shall be made only when authorized by the order. For time and materials orders, the Payments under Time and Materials and Labor Hour Contracts at FAR 52.212-4 (MAR 2009) (ALTERNATE I – OCT 2008) (DEVIATION I – FEB 2007) applies to time and materials orders placed under this contract. For labor hour orders, the Payment under Time and Materials and Labor Hour Contracts at FAR 52.212-4 (MAR 2009) (ALTERNATE I – OCT 2008) (DEVIATION I – FEB 2007) applies to labor hour orders placed under this contract. 52.216-31(Feb 2007)  Time-and-Materials/Labor-Hour Proposal RequirementsCommercial Item Acquisition. As prescribed in 16.601(e)(3), insert the following provision:

(a) The Government contemplates award of a Time-and-Materials or Labor-Hour type of contract resulting from this solicitation.

(b) The offeror must specify fixed hourly rates in its offer that include wages, overhead, general and administrative expenses, and profit. The offeror must specify whether the fixed hourly rate for each labor category applies to labor performed by—

(1) The offeror;

(2) Subcontractors; and/or

(3) Divisions, subsidiaries, or affiliates of the offeror under a common control.

13. RESUMES

Resumes shall be provided to the GSA Contracting Officer or the user ordering activity upon request.



14. INCIDENTAL SUPPORT COSTS

Incidental support costs are available outside the scope of this contract. The costs will be negotiated separately with the ordering activity in accordance with the guidelines set forth in the FAR.



15. APPROVAL OF SUBCONTRACTS

The ordering activity may require that the Contractor receive, from the ordering activity's Contracting Officer, written consent before placing any subcontract for furnishing any of the work called for in a task order.

For All Labor Categories Minimum Education Equivalents are:

Masters = Bachelors degree + 2 years experience relative to the specific position or 6 years experience relative to the specific position.

Bachelors = 2 years of college + 2 years experience relative to the specific position or 4 years experience relevant to the specific position.


Program Manager:

Minimum/General Experience This position requires a minimum of twelve (12) years experience, of which at least ten (10) years must be specialized. Specialized experience includes: complete engineering project development from inception to deployment, demonstrated ability to provide guidance and direction in the tasks similar to the representative scenarios provided in the RFP, proven expertise in the management and control of funds and resources, demonstrated capability in managing multi-task contracts of this type and complexity. General experience includes increasing responsibilities in information systems design and management.

Functional Responsibility Serves as the contractor's single contract manager, and shall be the contractor's authorized interface with the Government Contracting Officer (CO), the contract level Contracting Officer's Representative (COR), government management personnel and customer agency representatives. Responsible for formulating and enforcing work standards, assigning contractor schedules, reviewing work discrepancies, supervising contractor personnel and communicating policies, purposes, and goals of the organization to subordinates. Shall be responsible for the overall contract performance and shall not serve in any other capacity under this contract.

Minimum Education A Bachelor's degree in Computer Science, Information Systems, Engineering, Business, or other related scientific or technical discipline; OR equivalent combinations of the below listed minimums for education and experience with Government customer approval:

  1. With a Master of Sciences degree, ten years general experience of which at least eight years specialized experience is required. With a PhD, eight years general experience of which at least six years must be specialized experience.

Sr. Project Manager:

Minimum/General Experience This position requires a minimum of ten (10) years experience, of which at least seven (7) years must be specialized. Specialized experience includes: complete engineering project development from inception to deployment, demonstrated ability to provide guidance and direction in the tasks similar to the representative scenarios provided in the RFP, proven expertise in the management and control of funds and resources, demonstrated capability in managing multi-task contracts of this type and complexity. General experience includes increasing responsibilities in information systems design and management.

Functional Responsibility Serves as the project manager for a large, complex task order (or a group of task orders affecting the same common/standard/migration system) and shall assist the Program Manager in working with the Government Contracting Officer (CO), the contract-level Contracting Officer's Representative (COR), the Task Monitor(s), government management personnel and customer agency representatives. Performs enterprise wide horizontal integration planning and interfaces to other functional systems. Under the guidance of the Program Manager, responsible for the overall management of the specific task order(s) and insuring that the technical solutions and schedules in the task order are implemented in a timely manner.

Minimum Education A Bachelor's degree in Computer Science, Information Systems, Engineering, Business, or other related scientific or technical discipline; OR equivalent combinations of the below listed minimums for education and experience with Government customer approval:

  1. With a Master's Degree, eight (8) years of general experience of which at least five (5) years specialized experience is required.

  2. With a PhD, six (6) years of general experience of which at least four (4) years specialized experience is required.

  3. HS with fifteen (15) years general experience of which at least twelve (12) years specialized experience.

Project Manager:

Minimum/General Experience This position requires a minimum of seven (7) years experience, of which at least five (5) years must be specialized. Specialized experience includes: complete engineering project development from inception to deployment, demonstrated ability to provide guidance and direction in the tasks similar to the representative scenarios provided in the RFP, proven expertise in the management and control of funds and resources, demonstrated capability in managing multi-task contracts of this type and complexity. Sr. Systems Engineer / Sr. Application Analyst:

Minimum/General Experience This position requires a minimum of ten (10) years experience in information systems development, functional and data requirements analysis, systems analysis and design, programming, program design and documentation preparation. Of the ten (10) years general experience, a minimum of seven (7) years specialized experience is required in the following: demonstrated experience in managing the implementation of information engineering projects and experience in systems analysis, design and programming using CASE and IE tools and methods, e.g., Oracle CASE, IEF CASE, I-CASE. Demonstrated experience in the client/server environment. Proven managerial and supervisory skills. Demonstrated exceptional written and oral communications skills, including giving formal presentations to different audiences. Must demonstrate the ability to work independently or under only general direction.

Functional Responsibility Applies an enterprise-wide set of disciplines for the planning, analysis, design and construction of information systems on an enterprise-wide basis or across a major sector of the enterprise. Develops analytical and computational techniques and methodology for problem solutions. Performs enterprise wide strategic systems planning, business information planning, business and analysis. Performs process and data modeling in support of the planning and analysis efforts using both manual and automated tools, such as integrated computer-Aided Software Engineering (I-CASE) tools. Applies reverse engineering and re-engineering disciplines to develop migration strategic and planning documents. Has experience with such methodologies as IDEF 0 process modeling and IDEF 1X data modeling.

Minimum Education A Master of Sciences degree in Computer Science, Information Systems, Engineering, or other related scientific or technical discipline; OR equivalent combinations of the below listed minimums for education and experience with Government customer approval:

  1. With a PhD, eight (8) years of general experience is required of which at least six (6) years must be specialized experience is required.

  2. With A Bachelor's degree in Computer Science, Information Systems, Engineering, or other related scientific or technical discipline and twelve (12) years general experience of which at least ten (10) years must be specialized experience, a Masters degree is not required.

Systems Engineer / Application Analyst:

Minimum/General Experience This position requires a minimum of five (5) years experience, of which at least three (3) years must be specialized. Specialized experience includes: experience as an applications programmer on large-scale data base management systems, knowledge of computer equipment and ability to develop complex software to satisfy design objectives. Demonstrated ability to work independently or under only general direction.

Functional Responsibility Analyzes functional business applications and design specifications for functional activities. Develops block diagrams and logic flow charts. Translates detailed design into computer software. Tests, debugs, and refines the computer software to produce the required product. Prepares required documentation, including both program-level and user-level documentation. Enhances software to reduce operating time or improve efficiency

Minimum Education A Bachelor's degree in Computer Science, Information Systems, Engineering, Business, or other related scientific or technical discipline; OR equivalent combinations of the below listed minimums for education and experience with Government customer approval:

  1. With a Master's Degree, four (4) years general experience of which at least two(2) years must be specialized experience is required.

  2. HS with eight (8) years of general experience of which at six (6) years must be specialized experience.

Sr. Program Analyst / Sr. Programmer:

Minimum/General Experience This position requires a minimum of ten (10) years of general experience of which at least seven (7) years specialized experience is required. Specialized experience includes experience with and familiarity with current research and/or standards in at least three of the following technology standards areas: MVS, UNISYS, UNIX, POSIX, GOSIP, GUI, Ada/4GL, CASE, object oriented technologies, DBMS, SQL, IRDS (repository), ODA/ODIF, CALS/EDI, simulation and modeling, automated systems security, software metrics/system effectiveness measures/tools, multimedia, on-line transaction processing, and distributed computing; demonstrated ability to provide guidance and direction in the tasks similar to the representative tasks in the RFP; and proven expertise in the management and control of funds and resources. General experience includes increasing responsibilities in: systems software, modular systems design, transaction processing monitor designs and/or implementations, interface standards and team management.

Functional Responsibility Provides technical and administrative direction for personnel performing system software programmer tasks, including the review of work products for correctness; adherence to the standardized operational environment design concepts, operational guidelines, and standard procedures; and for progress in accordance with schedules. Coordinates with the Project or Program Manager to ensure problem resolution and user satisfaction. Applies software, hardware, and interface standards information technology skills in the analysis, specification, development, integration and acquisition of systems software for DOD information processing platforms. Performs professional system software engineering assignments in support of C4I efforts in one or more of the following disciplines: computer/communications engineering, computer/communications security, network analysis, interoperability analysis, systems standards, military support operations (e.g. finance, logistics, and personnel), program analysis, program planning and cost analysis. Knowledgeable of COTS products and methods that can be acquired to provide interoperable, portable, and scaleable information technology solutions. Makes recommendations, if needed, for approval of major systems installations. Prepared milestone status reports and deliveries/presentations on the system concepts to colleagues, subordinates and end user representatives.

Minimum Education A Bachelor’s degree in a scientific field or information systems; OR equivalent combinations of the below listed minimums for education and experience with Government customer approval:

  1. With a PhD, six (6) years of general experience of which at least three (3) years specialized experience is required.

  2. With a Masters, eight (8) years of general experience of which at least five (5) years specialized experience is required.

  3. HS with fifteen (15) years general experience of which at least twelve (12) years is specialized experience.

Mid. Program Analyst / Mid. Programmer:

Minimum/General Experience This position requires a minimum of five (5) years experience, of which at least three (3) years must be specialized. Specialized experience includes: analysis and design of business applications on complex systems for large scale computers, including three years experience in database management concepts, use of programming languages. Knowledge of current storage and retrieval methods, one year of systems analysis experience designing technical applications on computer systems and demonstrated ability to formulate specifications for computer programmers to use in coding, testing, and debugging of computer programs. General Experience includes increasing responsibilities in information systems design and management. Must demonstrate the ability to work independently or under only general direction on requirements that are moderately complex to analyze, plan, program and implement.

Functional Responsibility Analyzes and develops computer software possessing a wide range of capabilities, including numerous engineering, business, and records management functions. Develops plans for automated information systems from project inception to conclusion. Analyzes user interfaces, maintain hardware and software performance tuning, analyze workload and computer usages, maintain interfaces with outside systems, analyze downtime, analyze proposed system modifications, upgrades, and new COTS. Analyze the problem and the information processed. Defines the problem, and development systems requirements and program specifications, from which programmers prepare detailed flow charts, programs, and tests. Coordinates closely with programmers to ensure proper implementation of program and system specifications. Develops, in conjunction with functional users, system alternative solutions.

Minimum Education A Bachelor's degree in Computer Science, Information Systems, Engineering, Business, or other related scientific or technical discipline; OR equivalent combinations of the below listed minimums for education and experience with Government customer approval:

  1. With a Master’s degree, three (3) years specialized experience is required.

  2. With ten (10) years specialized experience, a degree is not required.

Jr. Program Analyst / Jr. Programmer:

Minimum/General Experience Three (3) or more years of experience in analysis, evaluation, planning, design, development, implementation and support of various ADP, telecommunication and/or hardware systems. Knowledgeable of systems analysis principles and methods, such as requirements, risk, cost-benefit and economic analysis. Familiar with program, financial, resource and contract management.

Functional Responsibility Provides technical expertise in systems analysis, requirements determination, cost-benefit and risk assessment, quality control, and human resource, financial and program management in support of information technology and related projects. Participates in the identification of alternative approaches and implications thereof and develops solutions to complex problems. Performs feasibility studies, concept formulation, design, development, implementation, operation and maintenance of various systems, equipment, and procedures. Determines life cycle support of ADP, telecommunication and hardware systems, including logistic support analysis, integrated logistic support, computer resources, configuration, provisioning, training, technical documentation, etc. Coordinates the work activity and conducts training of junior technical staff.

Minimum Education Bachelor’s degree, or high school with seven (7) years relevant experience in computer science, information systems, business administration, finance, accounting, engineering or a related field.

Technical Editor:

Minimum/General Experience This position requires a minimum of seven (7) years experience developing, editing, and producing technical documentation.

Functional Responsibility Reviews and edits highly complex written technical materials, including system configuration, documentation, studies, reports and other presentation graphics. Ensures compliance with government standards of style and format, good usage of English, and overall structure and organization of material.

Minimum Education A Bachelor’s Degree or equivalent related experience in the job function.

Jr. Technical Editor:

Minimum/General Experience This position requires a minimum of three (3) years experience developing, editing, and producing technical documentation.

Ensures compliance with government standards of style and format, good usage of English, and overall structure and organization of material.

Minimum Education A Bachelor’s Degree or equivalent related experience in the job function.

Graphics Artist:

Minimum/General Experience This position requires a minimum of two(2) years experience, of which at least one (1) year is specialized in analysis and design of business applications; standard graphics and publications software; government documentation standards; and logos, icons, charts, tables, and other graphics for software applications. The Graphic Artist has experience in all phases of graphic design and implementation, and image compression for the Web.

Functional Responsibility The Graphic Artist is responsible for overseeing the layout of end-user software documentation; creating cover designs, hand-drawn and computer-generated illustrations; and graphics of tables, charts, logos, icons, images for the application interface, and documentation; using appropriate data compression standards to create documents and Web pages that download quickly; and developing images and identities for software applications. In addition, the Graphic Artist Is responsible for designing branding concepts and images for software products, publications and demonstrations.

Minimum Education A Bachelor's degree in Fine Arts or other related field.

Subject Matter Specialist (SME):

Minimum/General Experience Analyzes user needs to determine subject matter requirements. Performs subject matter allocation to identify required tasks and their interrelationships. Identifies resources required for each task. Possesses requisite knowledge and expertise so recognized in the professional community that the Government is able to quantify the individual as an expert in the field. Demonstrates exceptional oral and written communication skills.

Functional Responsibility Provides technical expertise and guidance to other professionals as it relates to the subject matter at hand. Plans, conducts and/or supervises projects of major significance, necessitating knowledge and the ability to originate and apply new and unique methods and procedures.

Minimum Education A Master's degree or equivalent experience of the below listed minimums for education and experience with Government customer approval:

  1. With fifteen (15) years specialized experience, a degree may not be required.
