EXCHANGE AGREEMENT By and Between UniversitÄT Basel Petersgraben 35 CH-4003 Basel
This Agreement is made and entered into by and between the Universität Basel, located in Basel, Switzerland for the benefit of the Institute/Faculty of _________, hereinafter referred to as "Basel," and the University of N.N., located in N.N., Country, for the benefit of the Institute/Faculty of _________, hereinafter referred to as "N.N.". The parties hereto agree as follows: I. Philosophical Intent a. The primary objective of this Agreement is the development of cooperative efforts between Basel and N.N., which will enhance the academic interchange between the two Parties. Recognizing the importance of mutual collaboration and the contributions to society made by institutions of higher education, the parties desire to promote exchange between the faculty and students of the two institutions as well as the exchange of academic and research information. b. Specific projects in an area of educational interest will be selected as a result of coordination by Basel and N.N. at the appropriate administrative level in each institution. As these projects are developed, each will require a specific written agreement between the Parties made in advance, setting forth the terms and conditions thereof and executed by authorized representatives of both Parties. II. General Provisions a. All research and other collaborative activities conducted pursuant to this Agreement shall be conducted in accordance with the laws and regulations appropriate to each Party. b. The visiting Party’s participants in the exchange shall be subject to university’s policies, regulations, rules and laws of the hosting Party. c. In the case of Basel, these include the rules of the Swiss law. In the case of N.N., these are the rules of the N.N. law. d. Both Parties agree to submit a report to their respective Dean each third year at least seven (7) months before the Agreement expires.
The acceptance of any Party’s participants shall be at the discretion of the hosting Party. Both Parties agree that over a three (3) year period balance will be achieved in the exchange of their participants. The funding of the travel, the accommodation, living and insurance costs of the Party’s participants in the exchange shall be in the sole responsibility of the participants. The exchange will not impose any financial obligation upon the hosting Party’s institution. Tuition fees for visiting students are waived. III. Term and Termination a. This Agreement shall take effect at the date of the final signature of both Parties and shall be in force for a period of three (3) years. It may be renewed for an additional three (3) years if both Parties agree in writing to renew the Agreement at least six (6) months before it expires. b. This Agreement may be terminated by either Party by giving 60 days' written notice to the other party.
Neither Basel nor N.N. shall be liable for acts of the other, nor shall they be liable for acts of the exchange participants. V. Miscellaneous a Notices with respect to this Agreement shall be provided to the Parties as indicated on Attachment A hereto, entitled “Administration of Programme and Contact Information,” which is incorporated by reference herein. b. All modifications and amendments to this Agreement must be in writing and duly signed by both Parties. c. This Agreement does not create any obligation for either Party to provide resources necessary to carry out any part of the Agreement. IN WITNESS WHEREOF the Parties hereto have executed two copies of this Agreement.
