AGREEMENT REGARDING INVOICING FROM

THE ALABAMA SUPERCOMPUTER AUTHORITY
THIS AGREEMENT is made and entered into this _____ day of _______________, _____ by and between_____________________________________________, an Emergency Communication District organized and operating under the laws of the State of Alabama (hereinafter referred to as the “ECD”) and the Alabama Statewide 911 Board (hereinafter referred to as the “Board”).
WHEREAS, the State of Alabama is transitioning to an IP based next generation and integrated emergency communication network (known as ANGEN or the ANGEN project) for wireless devices and connections with plans to extend the network for wire line connections and VOIP, AND

WHEREAS, the full transition to ANGEN will allow emergency response systems to take advantage of voice, data, video and other information available over broadband networks and platforms, AND


WHEREAS, the parties acknowledge and understand that the Board has entered into agreements with the Alabama Supercomputer Authority (ASA) to provide the IP network for the implementation of the ANGEN project, and further that ASA will support the network infrastructure requirements of ANGEN and provide related hardware services, technical support and 24 X 7 Helpdesk to each ECD participating in ANGEN, AND
WHEREAS, the ECD has agreed to fully participate in the ANGEN project,
WHEREAS, the parties acknowledge that ASA is to provide a 10 megabyte metro Ethernet circuit to each ECD participating in ANGEN but that only 2 megabytes are utilized in the initial ANGEN Project. The parties acknowledge that additional megabytes from the circuit provided by ASA to the ECD may be purchased by an ECD at an additional cost to the ECD. The parties further acknowledge that additional equipment or services may be purchased by an ECD from ASA
NOW, THEREFORE IN CONSIDERATION OF THE PREMISES, the parties agree as follows:


  1. In the event an ECD desires to purchase additional megabytes over and above the 2 megabytes included in the original cost of ANGEN, then a detailed proposal from ASA shall be provided to the ECD and the Board for such additional megabytes and said proposal shall be attached hereto as Exhibit A

  2. In the event that an ECD desires to purchase additional equipment or services from ASA, a detailed proposal from ASA shall be provided to the ECD and the Board for such additional equipment or services and said proposal shall be attached hereto as Exhibit B

  3. The ECD agrees that the cost of the additional purchases of services or equipment from ASA shall be deducted from the monthly distribution to the ECD from the Statewide Board in the month following receipt of the invoice by the Board. The Board agrees to timely pay all invoices on behalf of the ECD to ASA.

  4. The cost of services and equipment to be deducted from the ECD’s remittance under this agreement is $_____________.____ per quarter.

  5. This Agreement reflects the entire agreement between the parties with respect to the matters described herein. There are no prior representations or agreements between these parties relative to the subject matter that are not reflected in or superseded by this Agreement.

  6. This Agreement shall be interpreted and governed by the laws of the State of Alabama.

  7. Having agreed to the terms herein, the undersigned signatories hereby represent and warrant that each has authority to enter into this Agreement.

This Agreement shall become effective upon full and complete execution by the parties.

IN WITNESS WHEREOF, THE PARTIES HAVE SIGNED AND EXECUTED THIS AGREEMENT.
