Must increase each person’s expected utility. Both sides have to gain. Maybe explicit (written down contractor implicit (an understanding not written down, but it is still clear what each party is expecting) Assumption:People are utility maximizers; the end (goal) for all people is to maximize utility. People want more out of life. Rationality → instrumental in nature people seek the most effective means to their ends.
