COURSE PROGRAM

The reading and interpretation of Financial Statements as the first step of the financial analysis.

Improve the understandability of accounting information by using the contents of the explanatory notes.


Define the main formats of the Balance Sheet.

Define the main formats of the Income statement.

Identify, calculate and appreciate the Profitability Ratios.

Identify, calculate and appreciate the Liquidity Ratios.

Identify, calculate and appreciate the Solvency Ratios.

Understand and use the Statement of cash Flows (Hints).

At the end of the course it will be provided an analytical schedule done with the program and the bibliography of reference.
EDUCATIONAL AIM

The aim of the course is to develop student’s ability to analyze and interpret financial statements for the purpose of assessing financial performance of firms, by applying appropriate financial instruments. Attending is strongly suggested.

ASSESSMENT

Oral examination. Before the oral examination, student should present a practical application of the concepts learned during the course, by performing a comprehensive financial statement analysis for a company, arranged by the teacher, and submitting a written report.

At the beginning of the course will be provided analytical info on how to conduct the test examination, a distinction between attending and not attending students. The attendance of the course, even if not compulsory, is kindly suggested.

EDUCATIONAL AIM

The course intends to offer students a methodological approach and the negotiating and contractual instruments required to properly govern the life cycle of company IT and telecommunications systems from the legal-managerial perspective.

Beginning with an analysis of the principal phases of the life cycle of the IT and/or telecommunications systems, the consequent management problems and the relative legal and contractual impact of strategic sourcing ICT contracts, the course addresses possible strategies for negotiating between supply and demand, techniques for preparing a contract with the relative service levels, international standards of reference, the most frequent types of pitfalls, how to prevent them and possible ways to resolve them. The final goal is thus to understand how to manage company IT and telecommunications systems with an eye to both functional relationships with suppliers and greater protection and economic benefit for the company

COURSE PROGRAM

The course analyses the basic principles and characteristics of integrated management systems that covers total quality, environment and health/safety issues, viewed from within the organisation. The strategic choices, issues and advantages deriving from the management and integrated certification of such systems are evaluated regarding both the required corporate reorganisation for production and the conformity to current standards.

The second part of the course will examine, within the framework of the corporate social responsibility, the social responsibility report as an information instrument of the qualitative and quantitative results of the organisation. These results take into account economical, environmental and social issues supplying information to different categories of stakeholders, followed by the analysis of various existing structures and their respective contents
EDUCATIONAL AIM

To provide a cultural approach that aims at the integration of quality management systems. The course will illustrate these systems and their correlation with the social responsibility report, also as an instrument for technological innovation.

Utility theory in a certainty setting. Preferences and utility functions. Utility theory under risk. Von Neumann-Morgenstern model. Risk aversion. The model by Savage. Modern approaches to decision theory. Game theory: normal and extended form of a game. Solutions in noncooperative games: saddle solutions, nondominated solutions, Nash equilibrium.The bargaining problem. Cooperative games: coalitions. Games with transferable utility. EDUCATIONAL AIM

The aim of the course is to introduce the student to the main instruments in decision theory both in a certainty setting and under risk. A critical approach will be developed through examples and paradoxes. Moreover the interactive aspects of decisions will be considered in a special part devoted to game theory. Both cooperative and noncooperative models will be studied and some concepts of solution will be proposed.

COURSE PROGRAM

The course is separated in two sections, complementary but endowed with mutual autonomy:


I.

Rated society: special statute of the societies that resorts to the market of the capitals, with particular attention to: quotation and delisting; transparency of the orders owners; information and bookkeeping transparency, decisional and gestoria; techniques of acquisition of the control (stock intersections, or.p.to., parasocial pacts ); rules of government, systems of administration and control (legal and statutory models).


II

Reorganizations and acquisitions of companies and business units; increase of capital by contribution of business units; spin-offs; mergers; leveraged-buy-outs; transnational operations


EDUCATIONAL AIM

The course aims at depeen the knowledge in matter of government of the listed companies and the operations of merger, acquisition and spin off.

EDUCATIONAL AIM

This course deals with contracts made by business enterprises. At first, business-to consumer contracts law will be studied, as they are disciplined by the consumer code; then, attention will be concentrated on business-to-business contracts most frequently made in enterpreneurial activity, with a special regard to innominate contracts and contracts regulated by supplemental rules, contained in statutes different from the italian civil code. Finally, will be considered how italian law protects small business operators contracting with big companies (for instance, sub-supply contracts).

Cases and materials will be provided by the professor during the lessons. Students will have also to consult the Italian Civil code and supplemental norms in an updated edition: for instance De Nova, Codice civile e leggi collegate, ed. 2009

This course absorbs the former courses of Advanced Taxation Law and European Community Taxation Law.

Part a) 6 ECTS:


  • Internal fiscal aspects referred to profit and loss items.

  • Internal fiscal aspects referred to operations affecting the corporate structure.

  • Aspects of International Taxation Law (in particular: arms lenght, stable organization, CFC).

Educational Aim

The aim of this course is to introduce students to basic econometric models and techniques in order to carry out basic empirical work in economics. Students will be provided with the opportunity to use actual economic data to test economic theories and to learn a freeware econometric software (GRETL).
